Terms of Service Agreement

Effective Date: February 5, 2025

This Web Support Services Terms of Service Agreement ("Agreement") is entered into between The AKIRE Company LLC ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") who purchases web support services through our platform. By selecting a web support plan and completing payment, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. Services Overview

The AKIRE Company LLC provides professional web support and maintenance services designed to keep your website content current, functional, and properly maintained within the scope of your chosen plan.

1.1 Available Plans

Available plans details are available for review and/or selection by client at the following web page: https://support.akireco.com/web-page

1.2 Payment Terms

Each plan is available with the following payment structures and automatically renewed:

  • Month-to-Month: Billed monthly (every 30 calendar days) on a recurring basis
  • Month-to-Month with Annual Commitment: Billed monthly (every 30 calendar days) on a recurring basis with a minimum commitment of 12 months
  • Quarterly: Billed every three months (90 calendar days)
  • Quarterly with Annual Commitment: Billed every three months (90 calendar days) on a recurring basis with a minimum commitment of 12 months
  • Annual: Billed annually with maximum cost savings and priority planning

1.3 Services Included

All web support plans include the following core services within your allocated monthly hours:

Content & Text Updates

  • Edit or replace existing website text
  • Update service descriptions and pricing
  • Refresh headlines and calls-to-action
  • Update announcements and promotions
  • Format and publish client-provided content

Images & Visuals

  • Replace or reposition existing images
  • Add client-provided graphics and photos
  • Update homepage and internal page visuals
  • Adjust image sizing and alignment
  • Update sliders and banner content

Pages & Layouts

  • Create new standard content pages
  • Update existing page layouts
  • Reorder sections within templates
  • Reposition content blocks
  • Maintain visual consistency

Calendar & Blog Management

  • Update website calendars with events
  • Add or remove calendar entries
  • Upload and publish blog posts
  • Format blog content and images
  • Categorize and tag posts

Basic Functionality & Maintenance

  • Ensure core features function properly
  • Troubleshoot basic functional issues
  • Address plugin update conflicts
  • Restore functionality using existing configurations
  • Coordinate rollbacks when needed
  • Plugin updates
  • Hosting included (as applicable to your plan)
  • General uptime support

2. Service Limitations & Exclusions

2.1 Scope Clarifications

Core Web Support does not include advanced debugging or repairs related to custom-coded areas of the website. If site errors stem from manual code edits, experimental changes, or third-party modifications made outside of our services, additional investment may be required. Any corrective work beyond basic functionality support will be quoted separately and must be approved before proceeding.

2.2 Services Not Included

The following services are explicitly excluded from all web support plans:

  • Custom development or advanced coding
  • Debugging custom scripts or heavily modified themes
  • Major layout rebuilds or site redesigns
  • Advanced integrations or third-party API troubleshooting
  • SEO strategy, copywriting, or brand development
  • Emergency support or guaranteed response times (unless otherwise specified)
  • Recovery from security breaches, malware, or hacking incidents

2.3 Imagery Requirements

All core support plans require clients to provide their own graphics and imagery. We handle the placement, sizing, and optimization of your visual content. Premium stock photography and custom graphic design are available as optional add-ons with prior approval (see Section 3).

3. Optional Add-On Services

The following design services are available as optional upgrades to your web support plan. All add-ons require prior approval before work begins and will be billed separately from your monthly plan fees.

3.1 Custom Graphics

Pricing: Starting at $97 per graphic

Note: Pricing varies by complexity and turnaround time. A detailed quote will be provided before work begins.

3.2 Premium Stock Photos

Pricing: Starting at $27 per image

Note: High-quality licensed photography suitable for commercial use.

4. Hour Allocations

4.1 Hour Usage

Each plan includes a specific number of support hours. Hours are tracked and applied to all eligible service requests. Work will not begin on requests that would exceed your support hour allocation without prior approval for additional hours.

4.2 Unused Hours Policy

Unused hours do not roll over. Any hours not used within a given billing period will expire at the end of that billing period and cannot be carried forward to subsequent billing periods.

4.3 Additional Hours

If you require support beyond your monthly hour allocation, additional hours are available at our standard hourly rates. You will be notified before work begins that would exceed your plan allocation, and you must approve the additional charges before we proceed. Clients on annual commitment plans may qualify for special hourly rates.

5. Payment Terms & Billing

5.1 Recurring Billing

By selecting a web support plan, you authorize The AKIRE Company LLC to charge your designated payment method on a recurring basis according to your chosen payment schedule (monthly, quarterly, or annual). Payment is due at the beginning of each billing cycle.

5.2 Non-Refundable Payments

All payments are non-refundable. This includes but is not limited to unused hours, partial month services, or dissatisfaction with service delivery. By completing your purchase, you acknowledge and accept this policy.

5.3 Failed Payments

If a scheduled payment fails, you will be notified, and we will attempt to process payment again. If payment cannot be processed after reasonable attempts, your service may be suspended or terminated until payment is received. You remain responsible for any outstanding balances. Late fees apply for outstanding balances that exceed the five (5) day grace period.

5.4 Price Changes

The AKIRE Company LLC reserves the right to modify pricing for web support plans. Any price changes will be communicated to you at least thirty (30) days in advance. Continued use of services after the price change becomes effective constitutes acceptance of the new pricing.

6. Cancellation & Termination

6.1 Cancellation by Client

You may cancel your web support plan at any time, subject to the following notice requirements:

  • Month-to-Month Plans: Require thirty (30) days written notice
  • Quarterly and Annual Plans; and Plans with Annual Commitments: Require ninety (90) days written notice

Cancellation notices must be submitted in writing via email to [email protected] provided at the time of service purchase. Your service will remain active through the end of your current paid period. No refunds will be issued for any unused portion of prepaid services.

6.2 Termination by Company

The AKIRE Company LLC reserves the right to terminate your web support services immediately if you: (a) violate any terms of this Agreement, (b) fail to make timely payments, (c) engage in abusive, threatening, or inappropriate behavior toward our staff, or (d) use our services for any unlawful or unauthorized purpose.

6.3 Effect of Termination

Upon termination or cancellation of services, The AKIRE Company LLC will cease all work under your plan. You remain responsible for any outstanding fees. Any website content, files, or work product will remain your property, but The AKIRE Company LLC is not obligated to provide copies, backups, or transfers of data after termination unless otherwise agreed in writing.

7. Client Responsibilities

7.1 Content Provision

You are responsible for providing all necessary content, including text, images, graphics, and other materials required for updates to your website. Content must be provided in a usable format and in a timely manner to avoid project delays.

7.2 Access & Credentials

You must provide The AKIRE Company LLC with necessary access credentials, administrative privileges, and any required tools or platforms needed to perform the contracted services. You are responsible for maintaining the security of your credentials and notifying us immediately of any unauthorized access.

7.3 Timely Communication

You agree to respond promptly to requests for information, approvals, or clarifications. Delays in communication may result in extended project timelines and will not be grounds for refunds or service credits.

7.4 Compliance with Laws

You represent and warrant that all content you provide for use on your website complies with applicable laws, does not infringe on the intellectual property rights of any third party, and does not contain defamatory, obscene, or otherwise unlawful material.

8. Intellectual Property & Ownership

8.1 Client Content

You retain all ownership rights to content you provide, including text, images, logos, and trademarks. By using our services, you grant The AKIRE Company LLC a limited, non-exclusive license to use, reproduce, and publish your content solely for the purpose of providing web support services under this Agreement.

8.2 The AKIRE Company LLC Materials

The AKIRE Company LLC retains all rights to proprietary tools, processes, methodologies, and code libraries developed or used in providing services. Nothing in this Agreement transfers any ownership or intellectual property rights in such materials to you.

8.3 Third-Party Resources

Any third-party resources, plugins, themes, or software used in connection with your website remain subject to their respective licenses. You are responsible for ensuring compliance with all third-party licensing terms.

9. Warranties & Disclaimers

9.1 Service Warranty

The AKIRE Company LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. If any service fails to meet this standard, we will make reasonable efforts to correct the deficiency at no additional charge.

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 9.1, The AKIRE Company LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

9.3 Website Functionality

While we strive to maintain website functionality, The AKIRE Company LLC does not guarantee that your website will be free from errors, viruses, or security vulnerabilities, or that it will operate without interruption. We are not responsible for issues caused by third-party services, hosting providers, or factors beyond our reasonable control.

9.4 Results Disclaimer

The AKIRE Company LLC makes no guarantees regarding website traffic, search engine rankings, conversion rates, or other business results. Web support services are limited to technical maintenance and content updates as outlined in this Agreement.

10. Limitation of Liability

10.1 Limitation on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, The AKIRE Company LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO The AKIRE Company LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10.2 Exclusion of Consequential Damages

IN NO EVENT SHALL The AKIRE Company LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Exceptions

Nothing in this Agreement shall limit or exclude liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be limited or excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless The AKIRE Company LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services, (b) your breach of this Agreement, (c) your violation of any law or regulation, or (d) any content you provide that infringes the rights of any third party.

12. Confidentiality

The AKIRE Company LLC acknowledges that in the course of providing services, we may have access to confidential information including but not limited to business plans, customer data, financial information, and proprietary materials. We agree to maintain the confidentiality of such information and will not disclose it to third parties without your prior written consent, except as required by law or as necessary to provide the contracted services.

This confidentiality obligation does not apply to information that: (a) was publicly available prior to disclosure, (b) becomes publicly available through no fault of The AKIRE Company LLC, (c) was rightfully possessed by The AKIRE Company LLC prior to disclosure, or (d) is independently developed by The AKIRE Company LLC without reference to your confidential information.

13. Data Protection & Privacy

The AKIRE Company LLC is committed to protecting your privacy and handling your data responsibly. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using our services, you consent to our data practices as described in our Privacy Policy.

You acknowledge and agree that The AKIRE Company LLC may collect and process data related to your website's performance, usage statistics, and service delivery metrics for the purpose of improving our services and providing support.

14. Force Majeure

The AKIRE Company LLC shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service provider failures, or other events of force majeure. In the event of force majeure, The AKIRE Company LLC will make reasonable efforts to resume performance as soon as practicable.

15. Modifications to Terms

The AKIRE Company LLC reserves the right to modify or update these Terms of Service at any time. Changes will be communicated to you via email or through your account dashboard. Your continued use of services after such notification constitutes acceptance of the modified terms. If you do not agree to the modified terms, you may cancel your service in accordance with Section 6.

16. Entire Agreement

This Agreement, together with any referenced policies and any written amendments signed by both parties, constitutes the entire agreement between you and The AKIRE Company LLC regarding web support services and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

17. Severability

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

18. Waiver

The failure of The AKIRE Company LLC to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of The AKIRE Company LLC.

19. Assignment

You may not assign or transfer this Agreement or any rights hereunder without the prior written consent of The AKIRE Company LLC. The AKIRE Company LLC may assign or transfer this Agreement or any rights hereunder to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

20. Governing Law & Dispute Resolution

20.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict of law provisions.

20.2 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be addressed through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Madison County, Mississippi, unless otherwise mutually agreed.

20.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and The AKIRE Company LLC individually. To the fullest extent permitted by law, you agree that you will not participate in a class action, class-wide arbitration, or any other representative or consolidated action or proceeding.

22. Acceptance of Terms

BY SELECTING A WEB SUPPORT PLAN AND COMPLETING PAYMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE OR USE OUR SERVICES.
